BVS: Mimoriadne zasadnutie akcionárov k zmenám stanov v piatok nebude

Mimoriadne valné zhromaždenie Bratislavskej vodárenskej spoločnosti (BVS) k zmenám jej stanov sa v piatok (27.1.) konať nebude.

Rozhodlo sa o tom na dnešnom zasadnutí predstavenstva BVS, ktoré vyhovelo požiadavke hlavného mesta zrušiť toto zhromaždenie. Pre TASR to uviedol hovorca bratislavských vodární Ján Pálffy.
      Bratislava ako väčšinový akcionár BVS v decembri 2016 požiadala zvolať mimoriadne valné zhromaždenie, na ktorom chcela zmeniť stanovy spoločnosti. Zasadnutie akcionárov bolo naplánované na piatok.
      Zástupca minoritných akcionárov Miroslav Dragun dnes upozornil, že mesto chce dosiahnuť, aby rozhodovalo o všetkých krokoch spoločnosti bez potrebnej dvojtretinovej väčšiny. "Chcú to riešiť jednoduchou väčšinou - 51 percentami a takto aj navrhovali zmenu stanov. Obchodný zákonník však hovorí, že na všetky strategické zmeny v spoločnosti, ako je zmena stanov či návrh na zrušenie spoločnosti, je potrebná dvojtretinová väčšina," skonštatoval s tým, že sa tak oslabí postavenie minoritných akcionárov BVS. Na rozpor s Obchodným zákonníkom primátora upozornil listom aj predseda predstavenstva a generálny riaditeľ BVS Zsolt Lukáč.
      Minoritní akcionári požadujú komplexnú zmenu stanov, a to tak, aby sa proporčne rozdelili pozície v dozornej rade a v predstavenstve. "Budeme žiadať dvoch členov dozornej rady za minoritných akcionárov Bratislavského kraja a taktiež budeme žiadať jedného alebo dvoch členov predstavenstva za minoritných akcionárov Bratislavského kraja," uviedol Dragun s tým, že teraz v dozornej rade ani v predstavenstve BVS nemajú v súčasnosti nikoho a chcú zefektívniť kontrolu.
      Hlavné mesto na otázky TASR doteraz nereagovalo.
